These Terms and Conditions apply to the use of www.adworld.si and to all digital marketing services provided by Adworld Internet Marketing Klemen Kveder s.p.

2. Services Provided

We provide a range of digital marketing services, including SEO, social media marketing, pay-per-click advertising (PPC), content creation, and website design & development. The scope of work will be defined in the proposal or agreement with each Client.

3. Client Responsibilities

• Cooperation: The Client shall provide all necessary information, materials, and access to enable service delivery.
• Data Protection: The Client ensures that any personal data supplied is collected and processed in compliance with GDPR, including obtaining necessary consents.
• Approvals: The Client shall review and approve deliverables promptly.

4. Payment Terms

• Fees: Service fees are defined in the proposal or agreement.
• Invoices: Issued according to the agreed schedule and payable by the due date stated.
• Late Payments:
  • A fixed recovery fee of €40 applies.
  • Statutory late payment interest at the rate of European Central Bank (ECB) reference rate + 5 percentage points, calculated from the due date until payment is received.
  • If recovery costs exceed €40, the Company reserves the right to claim additional reasonable recovery expenses.

5. Intellectual Property

• Client Content: The Client retains ownership of all content provided and grants the Company a license to use it solely for the provision of services.
• Company Content: All strategies, reports, and deliverables created by the Company remain its property unless otherwise agreed in writing.

6. Confidentiality & GDPR Compliance

Both parties agree to maintain confidentiality of non-public information. The Company applies appropriate technical and organizational measures to ensure compliance with GDPR. For details, see our Privacy Policy.

7. Termination

Either party may terminate the agreement with written notice. The Client remains liable for services delivered up to the termination date. The Company may terminate immediately in the event of a breach of these Terms.

8. Limitation of Liability

The Company shall not be held liable for indirect, incidental, or consequential damages. Marketing outcomes depend on external factors, and success cannot be guaranteed.

9. Governing Law

These Terms shall be governed by the laws of Slovenia. Any disputes shall be subject to the jurisdiction of Slovenian courts.

10. Modifications

The Company reserves the right to modify these Terms and Conditions at any time. Updates will be posted on this page, and continued use of the Website or services constitutes acceptance of the revised terms.

11. 100% ROI Guarantee Program

1. Eligibility: Available for new campaigns directly managed by the Company that meet onboarding requirements (proper tracking setup, budget, and strategy alignment).
2. Guarantee: Within 60 days, we guarantee either a 10% ROI increase or a measurable reduction in CPA. If not achieved, we will manage the campaign free of charge for 30 days.
3. Exclusions: The guarantee does not apply if objectives or budgets are significantly altered, or if external factors (platform algorithm changes, seasonality, market shifts) affect performance.
4. Measurement: Based on agreed KPIs and verified via advertising platforms and analytics tools.
5. Client Responsibilities: Timely approvals, asset delivery, and cooperation are required. Failure to provide them voids the guarantee.
6. Termination: Early termination before the 60-day period voids the guarantee.
7. Disclaimer: This guarantee ensures performance improvement, not specific monetary results. Liability is limited to the scope described herein.
